Examines the notion of corporate personality and the regulation of corporations, covering such topics as the incorporation process and management and control of a company. Students also compare the various means of conducting business in associations such as companies and partnerships.

Objectives The objective of this course is to introduce students to different forms of co-venturing, the rights and liabilities of participants, the notion of corporate personality, and the regulation of corporations generally.

3. The different types of business entities
4. The process of incorporation, corporate personality and piercing the corporate veil
5. Governing the corporation
6. Directors' duties: Duty of care, skill and diligence and the duty of good faith
7. Directors' duties: Insolvent trading, related party transactions and fiduciary obligations
8. Corporate finance
9. Insolvency and death of the corporation
10. Binding the corporation in contract
11. Shareholder's rights and remedies
